If you do not understand any part of the following ‘Terms and Conditions’ please contact SEO Bridge or seek legal advice prior to placing an order for services.

By placing an order with SEO Bridge, you confirm that you are in agreement and bound by the following non-negotiable ‘Terms and Conditions’.

Definitions:

The Client: The company or individual entering into agreement with SEO Bridge.
SEO Bridge: Service provider, employees or affiliates.

SEO Campaigns

i) The client agrees to pay the arranged monthly SEO fee for SEO Bridge to provide their services for a minimum period of three months.

ii) Prior to any work being undertaken by SEO Bridge the client must disclose if they have:

Previously utilised the services of any Search Engine Optimisation Company.
Previously employed the services of any Submission Company (link, directory, etc.).
Created any duplicate sites, duplicate content or pages, redirects or doorway pages to their website.
Requested or exchanged links with any link farms or have undertaken spamming techniques.

The client also agrees that they will not commence in any of the above activities whilst engaging SEO Bridge’s services.

iii) Whilst SEO Bridge will work to the highest possible standards to achieve positive results, the client understands that search engines are independent companies who rank sites using their own criteria. It is therefore not possible to provide guarantees for specific results. In addition, SEO Bridge cannot quantify or guarantee any level of increased traffic or sales as a result of their search engine optimisation services. Advertising online is an unpredictable market place and SEO Bridge can give no guaranteed positioning.

iv) Whilst work will be carried out to increase visibility and rankings on additional Search Engines (Bing, Yahoo! etc.), Google will be the primary area of focus.

v) Payment for SEO Bridge SEO services will be billed monthly and in advance of work being started. SEO Bridge will provide invoices at the end of each month and payment will be due on receipt to ensure no loss of service.

vi) Disclaimers and limitations on liability:

SEO Bridge shall not be held responsible for websites or URLs penalised, lowered in ranking or excluded by a search engine for any reason.
SEO Bridge do not guarantee the client’s website or URLs will achieve an increased position.
SEO Bridge cannot be held responsible for delays in providing reports or communications to the client due to Internet Service Provider delivery problems.
SEO Bridge do not guarantee that any results provided via the systems available via SEO Bridge or from third parties will be correct, accurate, timely, reliable or otherwise.
The client agrees that use of SEO Bridge services is at their sole risk. These Services are provided on an “as is” and “as available” basis.
SEO Bridge expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.
Notwithstanding the security precautions taken against disclosure of information, there are certain conditions that exist on the Internet generally which are outside SEO Bridge’s control and could result in a breach of security. Accordingly, SEO Bridge cannot guarantee the client’s data will be free from corruption or piracy.
The client hereby expressly waives any claim against SEO Bridge arising out of the loss of data through corruption, piracy, breach of security or for any other reason that is not based on intentional or grossly negligent actions of SEO Bridge.
SEO Bridge cannot be held responsible for acts or issues beyond their control, including but not limited to: acts of God, strikes, lockouts, communications line or equipment failures, power failures, earthquakes, or other disasters.
To the maximum extent allowed by law, SEO Bridge and any of their parents, members, subsidiaries, affiliates, service providers, licensors, officers, directors or employees shall not be liable for any direct, indirect, special, incidental or consequential damages (no matter how they arose, including negligence), or for interrupted communications, lost data or lost profits, arising out of or in connection with the Services provided. Furthermore, SEO Bridge will not have any liability for any losses arising because the SEO Bridge services are not operational or accessible.
This section does not limit liability for bodily injury of a person.

vii) Notice of Cancellation:

SEO Bridge SEO contracts are based on an initial 3-month period.
Notice of cancellation by the client shall be deemed valid and will be accepted by SEO Bridge if received by facsimile, e-mail or post after the initial period.
The client must receive confirmation from SEO Bridge that the cancellation request has been received and processed. The onus is on the client to ensure this has occurred.
Cancellation will be accepted on the actual date of receipt by SEO Bridge and will take effect at the end of the same calendar month for which the client will be charged at the normal applicable rate.

PPC Campaigns (Pay-Per-Click)

i) The client agrees to pay the arranged monthly management fee for SEO Bridge to manage the PPC campaign for a minimum period of one month.

ii) The set up & management fee will be dependant upon the complexity and size of the client’s campaign and shall be agreed by both parties prior to the commencement of SEO Bridge’s services.

iii) Payment for the set-up, optimisation and development of the client’s PPC campaign will be in advance of the campaign being activated. SEO Bridge will then provide invoices at the end of each month for the monthly management fee and payment will be due on receipt to ensure no loss of service.

iv) Payment for the PPC costs themselves will be paid by the client directly to Google using one of Google’s available methods.

v) The client and SEO Bridge agree that login details to any PPC account will not be changed without notification to both parties throughout the duration of the contract.

vi) Any financial details provided to SEO Bridge by the client, both during the contract and after termination of the agreement, will be kept confidential.

vii) SEO Bridge cannot quantify or guarantee any level of increased traffic or sales as a result of their PPC services. Advertising online is an unpredictable market place and SEO Bridge can give no guarantees.

viii) Disclaimers and limitations on liability:

SEO Bridge cannot be held responsible for delays in providing reports or communications to the client due to Internet Service Provider delivery problems.

Miscellaneous Provisions

i) Payments

The client agrees that payment for SEO Bridge services will be paid in accordance to the terms agreed.
Where payment is not received interest may be charged on a daily basis until the amount due (including any interest) is paid in full. Interest shall be charged on a daily basis with reference to a year consisting of 365 days and with all unpaid Interest compounded Monthly.
Where overdue payments have not been received after 30 days, SEO Bridge will pass the matter to the Small Claims Court. Non-payment may result in County Court Judgements (CCJs) against the client.

ii) Complaints:

Should a problem with SEO Bridge’s service be experienced, the matter should be raised in writing (or email) to SEO Bridge and clearly outline the grounds for complaint.
SEO Bridge will investigate any complaint with the intention of receiving a satisfactory outcome and provide a response within 7 – 14 days.

iii) SEO Bridge will not be liable for in any disputes between their client and any of the client’s customers and cannot be held responsible for any wrongdoing on the part of a site owner.

iv) SEO Bridge will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.

v) SEO Bridge’s liability to the Customer shall not exceed the aggregate of any sums paid to SEO Bridge by the client during the calendar year in which the applicable cause of action against SEO Bridge arose. Neither party shall be liable to the other for its failure to comply with its obligations under the agreement caused by anything beyond its reasonable control.
